Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and John Fodchuk (sole proprietor, operating as AgriForge) ("AgriForge," "we," "us") governing your access to and use of the AgriForge marketing site, web application, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.


1. The Service

AgriForge is farm-management software for mixed operations, including livestock records and AI photo intelligence, crops and fields, maintenance and assets, inventory, and related features. The Service is currently offered in preview, which means features may change, be added, or be removed, and may contain errors or interruptions.

5. AI features and operational decisions

The Service includes AI-assisted features (photo intelligence for identification, weight, and condition; a chat assistant; generated images). AI outputs are estimates and aids, not professional advice. They may be inaccurate or incomplete. You are solely responsible for verifying outputs and for decisions about your animals, crops, equipment, regulatory compliance (including crop-protection PHI/REI intervals and animal-health matters), and operations. Do not rely on the Service as a substitute for veterinary, agronomic, legal, or other professional judgment.


6. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. In short, do not misuse the Service, infringe others' rights, attempt to breach security, or use it unlawfully.


7. Intellectual property

The Service, including its software, design, and trademarks (including "AgriForge"), is owned by AgriForge and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. You may not copy, modify, reverse-engineer, resell, or create derivative works except as permitted by law.


8. Third-party services

The Service integrates third-party services (for example, payment processing, mapping and satellite imagery, weather data, messaging delivery, and AI infrastructure). Your use of those features may be subject to the third parties' terms, and we are not responsible for their services.


9. Availability, preview status, and changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, especially during the preview period. We may modify, suspend, or discontinue features at any time. We will use reasonable efforts to give notice of material adverse changes to paid plans.


10. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to others or to the Service. On termination, your right to use the Service ends; sections that by their nature should survive (e.g., ownership, disclaimers, limitation of liability, indemnity, governing law) survive.


11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE.

Nothing in these Terms excludes or limits rights or remedies that cannot be excluded or limited under applicable consumer-protection law, including The Consumer Protection and Business Practices Act (Saskatchewan).


12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGRIFORGE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, LIVESTOCK, CROPS, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100.

13. Indemnity

You will indemnify and hold harmless AgriForge from third-party claims arising out of Your Content, your use of the Service in breach of these Terms, or your violation of law or the rights of others, except to the extent caused by us.


14. Governing law and disputes

These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You and AgriForge submit to the exclusive jurisdiction of the courts located in Regina, Saskatchewan, except that either party may seek injunctive relief in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.


15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide additional notice. Your continued use after changes take effect constitutes acceptance.
